Distribution Agreement

1. Grant of Rights

You grant SoundFlow the non-exclusive, worldwide right to:

• Distribute, sell, copy, and stream your Recordings and underlying metadata to Digital Service Providers (DSPs).
• Collect all income derived from the exploitation of your Recordings.
• Use your name, likeness, and artwork for promotional purposes related to the distribution of your content.

You retain 100% ownership of your copyrights. This is a distribution deal, not a transfer of ownership.

2. Artificial Intelligence (AI) Policy

SoundFlow respects human creativity. By using our service:

• You represent that you have all necessary rights to any AI-generated content included in your Recordings.
• You agree not to upload content that infringes on the rights of others, including "deepfakes" or unauthorized voice clones.
• Opt-Out: SoundFlow does not authorize the use of your content for training third-party AI models without your explicit consent. We will use commercially reasonable efforts to signal this opt-out to DSPs where technically feasible.

3. Financial Terms and Payment Schedule

• Royalties: We pay you 100% of Net Receipts actually received from DSPs.
• Reporting Delays (Critical): You acknowledge that DSPs (Spotify, Apple Music, etc.) report sales and streams with a delay of 2 to 6 months. Royalties earned in a given month will not be available for withdrawal until the DSPs have reported and paid SoundFlow.
• Payout Processing: Once funds are received from DSPs, SoundFlow processes them periodically (typically monthly). Withdrawal requests may take up to 14 business days to process.
• Minimum Threshold: You must reach a minimum balance of $50 USD to request a payout.
• Taxes: You are solely responsible for reporting and paying any applicable taxes on your earnings.
• Third-Party Fees: Transaction fees (e.g., bank transfer fees) may be deducted from your payout.

4. Warranties and Indemnification

You warrant that:

• You are at least 18 years old or have legal guardian consent.
• You own or control all rights to the Recordings, including underlying compositions (samples must be cleared).
• The Recordings do not contain hate speech, illegal content, or infringe on third-party rights.

You agree to indemnify and hold SoundFlow harmless from any claims, damages, or expenses arising from your breach of these warranties.

5. Term and Termination

This Agreement is effective until terminated. You may terminate this Agreement at any time by issuing a "Takedown Request" via your dashboard. We will request removal from DSPs within 2-5 business days, though DSP timing may vary.
